B2B Wholesale Terms of Service
Effective Date: October 2026. These Terms govern the wholesale purchase, API integration, and electronic provisioning of digital cellular eSIM profiles by registered enterprise partners.
Commercial Entity Status & Express Disavowal of Consumer Capacity
ConnectMeGuru B2B Wholesale (partner.connectmeguru.com) is an exclusively commercial, enterprise, and wholesale mobile connectivity platform. By registering an account, integrating the API, or topping up wallet funds:
- The Partner explicitly represents, warrants, and covenants that it is entering into this Agreement solely in a commercial, corporate, professional, or merchant capacity for business use or commercial resale.
- The Partner explicitly disclaims and waives any claim to consumer status, consumer remedies, statutory cooling-off protections, or distance selling cancellation rights under any national, supranational, federal, state, provincial, or international consumer protection legislation worldwide.
- The individual completing account registration warrants that they possess full legal authority to bind the corporate entity to these terms.
Prepaid Wallet Balances as Advance Wholesale Inventory Credits
Wholesale ordering operates strictly on a prepaid advance credit model. Deposits credited to the Partner USD wallet (via PayPal, cryptocurrency gateways, wire transfers, or administrative ledger adjustments):
- Nature of Funds: Constitute advance wholesale eSIM inventory reservation credits. Upon receipt, funds are irrevocably allocated for automated carrier inventory provisioning and API gateway maintenance. Wallet funds do not constitute bank deposits, escrow balances, or store cash.
- Non-Refundable: All wallet deposits are strictly non-refundable once credited. Unspent wallet balances cannot be refunded, withdrawn, or redeemed for cash, and must be consumed through eSIM inventory orders pursuant to our Cancellation & Refund Policy.
- Account Inactivity / Termination: In the event of voluntary partner closure or termination for breach, unconsumed wallet credits remain non-refundable and are forfeited as liquidated administrative costs.
Universal Statutory Performance & 14-Day Cooling-Off Waiver
Due to the real-time, automated, digital, and irrevocable nature of international mobile network profile generation and wholesale routing:
The Partner expressly requests, instructs, and authorizes the immediate electronic performance and wholesale provisioning of eSIM services upon account activation, wallet top-up, or order placement.
The Partner acknowledges and agrees that any statutory cooling-off period, 14-day right of withdrawal, or cancellation right under any national, supranational, federal, state, provincial, or local statute, directive, or regulation worldwide is hereby fully and irrevocably waived to the maximum extent permitted by applicable law once digital provisioning or service performance has commenced.
Strict Anti-Chargeback Covenant & Mandatory Escalation
To prevent friendly fraud, merchant abuse, and bypass of network settlement rules:
- Mandatory Dispute Escalation: The Partner covenants that it shall not initiate any chargeback, payment reversal, payment dispute, or claim with PayPal, credit card issuers, acquiring banks, or payment networks without first submitting a written claim to ConnectMeGuru Partnerships & Support (
partnerships@connectmeguru.com) and allowing thirty (30) business days for formal investigation and resolution. - Breach & Penalties: Initiating an unauthorized chargeback or payment reversal without following the mandatory escalation procedure constitutes a material breach of this Agreement. ConnectMeGuru reserves the right to immediately suspend or terminate API credentials, freeze all active eSIM profiles associated with the account, forfeit remaining wallet balances, and assess a liquidated administrative recovery fee of \$250 USD per chargeback plus collection costs.
- Evidence of Performance: The Partner acknowledges that ConnectMeGuru persists cryptographic transaction records, client IP addresses, browser telemetry, ICCID allocation tokens, and carrier network delivery confirmations, all of which shall serve as definitive legal proof of performance in payment disputes.
Mobile Roaming Disclaimer & Limitation of Liability
Wholesale cellular connectivity relies upon international radio networks, foreign cellular towers, and international roaming carrier alliances:
- "As-Is" Provisioning: ConnectMeGuru provides wholesale connectivity on an "AS-IS" and "AS-AVAILABLE" basis. ConnectMeGuru does not warrant that cellular coverage, data transmission speeds, or roaming networks will be uninterrupted, error-free, or accessible in every geographic locale.
- Exclusion of Consequential Damages: In no event shall ConnectMeGuru, its directors, or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of business profits, goodwill, client contracts, or operational interruptions suffered by the Partner or its downstream end-users.
- Aggregate Liability Cap: Under all circumstances, ConnectMeGuru's maximum aggregate financial liability arising out of or related to any order, defect, or service disruption shall be strictly capped at the wholesale amount actually paid by the Partner for the specific affected eSIM order giving rise to the claim.
API Security, Reseller Compliance & Downstream Indemnification
Partners are solely responsible for securing their API credentials and managing their commercial distribution channels:
- Credential Security: Any order, query, or ledger deduction initiated with the Partner's API keys or account login is deemed authorized by the Partner. Stolen or compromised credentials remain the Partner's sole financial liability.
- Acceptable Use & Regulatory Compliance: The Partner warrants that it shall not use, resell, or distribute eSIM profiles for spamming, SMS spoofing, SIM-box operations, traffic bypass fraud, or any activity prohibited by international communications regulations.
- Indemnification: The Partner agrees to defend, indemnify, and hold harmless ConnectMeGuru and its underlying carrier partners from and against any third-party claims, customer disputes, carrier fines, legal costs, or regulatory penalties arising out of the Partner's resale operations, downstream marketing, or end-user conduct.
Governing Law, Exclusive Jurisdiction & Waiver of Class Actions
These Terms, and any dispute, controversy, or claim arising out of or in connection with them, shall be governed by and construed in accordance with commercial laws, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly disclaimed.
The parties irrevocably submit to the exclusive jurisdiction of the designated commercial courts, and both parties expressly waive any right to participate in or initiate class-action litigation, representative actions, or collective commercial arbitration against ConnectMeGuru.
